This document outlines the terms and conditions that govern your participation as a Referral Partner. Please review it carefully to understand your responsibilities, how commissions are earned, and how we work together. By joining the Program, you agree to these terms and our shared commitment to ethical and professional promotion.
1. Agreement
By registering for the Soto Group Referral Program (“Program”), you agree to abide by these Terms of Service (“Agreement”). Please read the entire Agreement carefully before enrolling. Soto Group may modify these terms at any time without prior notice, and your continued participation constitutes acceptance of any changes.
2. Eligibility

You must be 18 years or older to participate.

You must provide accurate and complete information during registration and throughout your participation.

Self-referrals (referring yourself) are strictly prohibited.
3. Approval or Rejection of Application
Soto Group reserves the sole right to approve or reject any Referral Partner application at its absolute discretion. You will have no legal recourse against Soto Group for the rejection of your application.
4. Referral Links and Tracking

Unique referral links are used to track referrals and commissions.

We are not responsible for failures resulting from incorrect usage, alterations, or technological issues with your referral link.

Only transactions completed through your unique referral link within 90 days are eligible for commission.
5. Commissions and Payments

Commissions are earned on purchases made by referred customers who remain active for a minimum of 31 days.

Payments are made monthly, covering only successfully completed transactions.

Transactions that result in refunds, chargebacks, or fraud are ineligible for commission.

Soto Group may withhold payments where unethical promotional practices are detected.
6. Promotion Guidelines

Referral Partners must not misrepresent themselves as employees, agents, or white-label providers of Soto Group.

All promotional content must be legal, accurate, and not misleading.

Promotional activities must comply with all applicable laws and regulations, including those related to spam and privacy.
7. Customer Relationship
All referred customers will become direct clients of Soto Group. We will manage all communications, contracts, service delivery, and client relationships.
8. Prohibited Practices
You may not engage in:

Inappropriate advertising (e.g., false claims, misleading links).

Spamming (mass email, unsolicited newsgroup postings, etc.).

Promoting on sites associated with illegal activities.

Misuse or violation of intellectual property rights.

Offering rebates, kickbacks, or incentives tied to commissions.

Promoting unauthorized coupons, deals, or discounts.

Setting cookies through pop-ups, pop-unders, or similar means without explicit user consent.

Misleading language suggesting unavailable deals or coupons.
Violation of these guidelines may result in immediate termination from the Program.
9. Coupon and Deal Site Policy

Referral Partners must not promote Soto Group coupons unless they are pre-approved.

Misleading coupon promotions, unauthorized bidding on coupon-related keywords, or falsely advertising available deals are strictly prohibited.
10. Pay-Per-Click (PPC) Policy
PPC advertising involving Soto Group’s brand or associated keywords is not allowed without prior written approval from Soto Group.
11. Relationship
Participation in the Program does not create any employment, partnership, agency, franchise, or joint venture relationship between you and Soto Group. You act solely as an independent Referral Partner.
12. Term and Termination

This Agreement is effective upon acceptance into the Program and will remain in effect until terminated.

Soto Group may suspend or terminate your Referral Partner status at any time, with or without cause.

Upon termination, you must immediately cease use of all Soto Group referral links and promotional materials.
13. Limitations of Liability
Soto Group shall not be liable for:

Indirect, special, or consequential damages (including loss of revenue, commissions, or data).

Tracking failures or technical issues.

Total liability under this Agreement is limited to the commissions earned under the Program.
14. Disclaimers

The Program and all related materials are provided “as is” without warranties of any kind.

Soto Group does not guarantee uninterrupted or error-free operation of its systems.
15. Indemnification
You agree to indemnify and hold harmless Soto Group, its affiliates, directors, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your participation in the Program.
16. Arbitration

Any disputes arising under or related to this Agreement will be resolved through binding arbitration in Australia.

Class action arbitration is not permitted.
17. Electronic Signatures
By registering for and participating in the Program, you consent to the formation of a legally binding agreement via electronic signature.
18. Miscellaneous

This Agreement is governed by the laws of Australia.

This Agreement constitutes the entire agreement between you and Soto Group regarding the Referral Program.

Your rights and obligations under this Agreement are not transferable or assignable.
